Corporate, Commercial & Regulatory Matters

Forming and governing companies, doing deals, and the regulatory work that comes with both — for Israeli companies, for international companies operating here, and for Israeli companies operating abroad.

Most of the firm's work begins with a company: forming one, funding one, buying or selling one, governing one, or resolving what happens when an arrangement between shareholders stops working. We act as outside counsel to companies with no in-house legal department, and as additional counsel to those that have one.

The firm's founder has served as general counsel to, and as a director of, companies listed on the Tel Aviv Stock Exchange, on Nasdaq and on the OTC markets, and has advised public companies, their officers and their shareholders across the range of their corporate, securities and commercial needs.

Where a matter crosses a border it does not become a different matter. It becomes the same matter with a second set of rules — and someone has to hold both.

What we handle

Formation & governance
Israeli companies and the Israeli subsidiaries of foreign parents; articles, shareholders' agreements, board and general-meeting procedure, and the duties of officers.
Transactions
Mergers and acquisitions, share and asset purchases, joint ventures, and the divestiture of holdings — for cash, for stock, or both.
Finance & investment
Private placements, venture capital and private equity rounds, convertible loans, project finance and tenders including BOT concessions.
Regulatory & compliance
Reporting obligations of public companies, banking and financial services regulation, and the consents and approvals a transaction requires.

Working across jurisdictions

A significant part of this practice involves a party, an asset or a governing law outside Israel. We structure and negotiate those transactions, draft the agreements in Hebrew or in English, and coordinate with counsel in the other jurisdiction so that neither side of the deal is left unadvised.

Where a matter turns on the content of another system’s law rather than on its application, the firm also provides expert opinions on foreign law — on American law to Israeli courts, and on Israeli law to foreign courts.

The firm has particular experience with Israeli life science, biotechnology and medical device companies, whose investors and listing venue are usually abroad while the company itself stays here. That work is described on the investments and capital markets page.

How we work

  • A partner on the matter throughout, with the firm behind the harder questions.
  • Advice framed as a decision for you to make — the options, and what each one costs.
  • Documents drafted to the same standard in Hebrew or in English.
  • Coordination with accountants, valuers, foreign counsel and other advisers as required.
  • Updates throughout, in the language you prefer.
