The Reg A Conference is DealFlow Events’ gathering for companies and dealmakers raising capital under Regulation A — the exemption that lets a company offer securities to the public, including to investors who are not accredited, without a full registered offering.
It matters to foreign issuers for a particular reason. Regulation A is open to companies incorporated in the United States or Canada, so an Israeli company that wants to use it has to think carefully about where it is incorporated and how it is structured — a question best answered before the offering is planned rather than during it.
The fireside session ran with Peter-Paul Van Hoeken of FrontFundr, the Canadian investment platform — which is the shape of a good deal of this work: an offering that has to satisfy two regulators at once, and is best understood as two offerings running on parallel tracks rather than one offering with a foreign attachment.
ABZ Law Office sponsored the 2023 conference, alongside firms including Mitchell Silberberg & Knupp and Winston & Strawn.
